1Acceptance and Binding Authority
1.1Binding Agreement
These Terms of Service (the "Terms") constitute a legally binding agreement between you (whether personally or on behalf of an enterprise entity, "You" or "User") and Traffelo AI Inc. ("Traffelo AI", "Company", "we", "us", or "our"), governing your access to and use of the traffelo.ai website, developer portals, interactive tools, and any evaluation or sandbox environments (collectively, the "Site").
1.2Corporate Authority
If you access or use the Site on behalf of a corporation, partnership, government body, or other legal entity, you represent and warrant that you possess the full legal authority to bind such entity to these Terms. If you lack such authority, or if you do not agree with all of these Terms, you are expressly prohibited from accessing or using the Site.
1.3B2B Restriction
The Site and associated platform evaluation tools are intended strictly for enterprise and commercial Business-to-Business ("B2B") use. Individuals under eighteen (18) years of age are prohibited from registering for or utilizing any evaluation services.
1.4Trade Compliance and Sanctions
You represent and warrant that you are not located in, organized under the laws of, or a resident of any country or region subject to comprehensive economic sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Nations, or the Republic of Turkey. You shall not access the Site or utilize Evaluation Services in violation of any applicable export control laws or trade restrictions.
2Site Content, Model Outputs, and Benchmark Disclaimers
2.1Informational Purpose Only
All material published on the Site—including platform architecture diagrams, technical documentation, whitepapers, case studies, and feature specs—is provided solely for general informational purposes.
2.2Model Calculations and Projections
Performance metrics, sub-5ms latency claims, return on investment (ROI) calculators, and payload processing throughput figures displayed on the Site are modeled projections derived from standardized benchmark workloads in controlled edge environments. They do not constitute a contractual warranty, formal service level agreement (SLA), or binding guarantee of real-world performance for any specific enterprise environment. This includes a specific disavowal of accuracy for non-deterministic AI model completions, hallucination risks, and autonomous execution parameters generated during evaluation access.
2.3No Unilateral Modification of Commercial Agreements
Nothing on this Site modifies, amends, or supersedes any executed Master Services Agreement (MSA), Data Processing Agreement (DPA), or custom SLA between Traffelo AI Inc. and an enterprise client.
3Evaluation Access, Developer Sandboxes, and API Keys
3.1Evaluation License
Subject to compliance with these Terms, Traffelo AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access designated developer sandboxes, Model Context Protocol (MCP) testing tools, or evaluation APIs solely for internal testing and technical feasibility assessment ("Evaluation Services").
3.2"AS-IS" Status
EVALUATION SERVICES ARE PROVIDED ON AN "AS-IS", "AS-AVAILABLE", AND "WITH ALL FAULTS" BASIS. TRAFFELO AI DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UPTIME, AVAILABILITY, NON-INFRINGEMENT, AND ACCURACY OF AI INFERENCE RESULTS OR COMPLETIONS.
3.3Prohibition of Production Data & PII
You explicitly agree NOT to upload, submit, process, or route any real production datasets, live corporate operational payloads, or unmasked Personal Identifiers (PII) through public evaluation environments, API sandboxes, or developer endpoints.
3.4Credential Security
You are responsible for maintaining the confidentiality of any developer keys, API tokens, or administrative credentials issued for sandbox evaluation. You must notify the Traffelo AI security team immediately, using the security contact in Section 9, upon discovering any unauthorized credential use or security breach.
3.5PII Violation and Remediation
Traffelo AI reserves the right to employ automated inspection filters to monitor API traffic within Evaluation Services. If Traffelo AI detects unmasked PII, production datasets, or malicious payloads submitted in breach of Clause 3.3, Traffelo AI may immediately suspend access, revoke API tokens, and permanently delete such data without prior notice or liability.
4Intellectual Property Rights
4.1Ownership
The Site, its underlying source code, web architecture, UI/UX designs, vector node graphics, bento-grid layouts, dark-mode visual assets (#0A0B0E), trade secrets, and registered/unregistered trademarks (including "Traffelo AI", the Traffelo AI wordmark, and visual branding assets) are the exclusive intellectual property of Traffelo AI Inc. or its licensors.
4.2Restrictions
Except as expressly authorized under these Terms, you shall not, directly or indirectly:
- (a) Copy, modify, duplicate, create derivative works from, frame, or mirror any portion of the Site;
- (b) Reverse engineer, decompile, disassemble, extract, or attempt to derive the source code, underlying algorithms, model weights, latent representations, or quantized WASM filter logic of the Site or Evaluation Services;
- (c) Utilize any outputs or completions derived from Evaluation Services to train, fine-tune, distill, or validate any competing artificial intelligence models, foundational datasets, data routing software, or commercial algorithms;
- (d) Use any automated data scraping, indexing, or extraction tools (including web crawlers or AI scraping bots) to collect Site content without prior written permission; or
- (e) Remove, alter, or obscure any copyright, trademark, or proprietary rights notices.
Distillation ban — see Clause 4.2(c) above. Outputs and completions from Evaluation Services may not be used to train, fine-tune, distill, or validate any competing model, dataset, routing software, or commercial algorithm.
5Prohibited Uses and Infrastructure Integrity
You agree not to engage in any activity that interferes with or disrupts the operation of the Site or associated networks. Specifically, you shall not:
- (a) Attempt to gain unauthorized access to any portion of the Site, enterprise tenant environments, or server infrastructure;
- (b) Probe, scan, or test the vulnerability of our web perimeter or bypass authentication safeguards, except as explicitly authorized pursuant to Traffelo AI's Coordinated Vulnerability Disclosure (CVD) policy. Any security research conducted outside the bounds of the CVD policy constitutes an unauthorized breach under the Computer Fraud and Abuse Act (CFAA) and applicable regional cybercrime statutes;
- (c) Upload or transmit viruses, Trojan horses, ransomware, or malicious code;
- (d) Use the Site or sandbox APIs to build, train, benchmark, or refine a competing software platform, foundational model, or data routing solution.
6Limitation of Liability
6.1Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRAFFELO AI INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNATIVE, OR SPECIAL DAMAGES—INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION—ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR EVALUATION SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6.2Aggregate Liability Cap
TRAFFELO AI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD) OR THE AMOUNT PAID BY YOU TO TRAFFELO AI FOR ACCESS TO THE SITE IN THE PAST TWELVE (12) MONTHS, WHICHEVER IS LESS.
6.3Statutory Carve-Out
Nothing in these terms shall exclude or limit Traffelo AI's liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be lawfully excluded or limited under applicable mandatory law.
7Indemnification
You agree to defend, indemnify, and hold harmless Traffelo AI Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your misuse of evaluation sandboxes or API keys; or (c) your violation of any third-party intellectual property or privacy rights. You shall not settle any indemnified claim without Traffelo AI's prior written consent. Traffelo AI reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification hereunder.
8Governing Law and Jurisdiction
8.1Enterprise Governing Terms
Commercial procurement and production deployments of the Traffelo AI platform are governed exclusively by executed Master Services Agreements (MSAs) and DPAs between Traffelo AI Inc. and the customer.
8.2Governing Law
These Terms of Service and any non-contractual disputes regarding Site access shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
8.3International Arbitration
For enterprise users accessing the Site from jurisdictions outside the United States (including the EU, Turkey, GCC, and S.E. Asia), any dispute, controversy, or claim arising out of or relating to these Terms or Evaluation Services shall be referred to and finally resolved by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC) or the DIFC-LCIA Arbitration Centre. The seat of arbitration shall be London, UK (or Dubai, UAE for GCC enterprise entities), the language of proceedings shall be English, and the arbitral award shall be final and enforceable across international borders.
9Changes to Terms and Contact
9.1Modifications
Traffelo AI reserves the right to modify these Terms at any time. Updated versions will be posted on the Traffelo AI website with an updated "Effective Date". Continued use of the Site after updates constitutes acceptance of the revised Terms.
